1. Agreement to Terms

By accessing or using Narrativ's services, platform, SDK, and APIs (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you may not access the Services.

These Terms apply to all visitors, users, and others who access or use the Services. By using our Services, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. Description of Services

Narrativ provides a social data platform that aggregates and interprets social feeds and market data to power AI SocialFi products. Our Services include:

• Real-time social data aggregation and analysis
• Market intelligence and sentiment analysis tools
• SDK and API access for developers
• Analytics dashboard and reporting features
• Integration services for third-party applications

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password and any credentials used to access the Services and for any activities or actions under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. Acceptable Use Policy

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Engage in market manipulation, fraud, or any deceptive practices
• Distribute malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts

5. API and SDK Usage

Access to our APIs and SDK is subject to additional terms and rate limits as specified in our developer documentation. You agree to:

• Comply with all applicable rate limits and usage quotas
• Keep your API keys and credentials secure and confidential
• Not exceed the scope of access granted under your subscription plan
• Properly attribute Narrativ when required by your license agreement
• Use our APIs only for lawful purposes and in accordance with these Terms

6. Intellectual Property Rights

The Services and their original content, features, and functionality are and will remain the exclusive property of Narrativ and its licensors. The Services are protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without prior written consent.

You retain ownership of any data you submit to the Services. By submitting data, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and analyze such data to provide and improve our Services.

7. Payment Terms

Certain features of the Services may require payment. All fees are exclusive of taxes, and you are responsible for paying all applicable taxes. Subscription fees are billed in advance on a recurring basis according to your selected plan.

We reserve the right to modify our pricing with 30 days' notice. Continued use of the Services after price changes constitutes acceptance of the new pricing. Refunds are issued at our sole discretion and in accordance with our refund policy.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Services will function uninterrupted, secure, or available at any particular time or location. We do not guarantee the accuracy, completeness, or timeliness of any data provided through our Services.

IMPORTANT: The data and analytics provided through our Services are for informational purposes only and should not be construed as financial, investment, or trading advice. Past performance is not indicative of future results. Always conduct your own research and consult with qualified professionals before making any investment decisions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NARRATIV, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content
• Trading or investment decisions made based on our data or analytics

10. Indemnification

You agree to defend, indemnify, and hold harmless Narrativ and its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of the Services.

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

You may terminate your account at any time by contacting us. Upon termination, we will delete your account and associated data, except as required by law or for legitimate business purposes.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Narrativ operates, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with applicable arbitration rules.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Services.
